Draft — not yet in effect. This is an operational draft of the BCW Talent Provider Agreement, pending Texas counsel review. It supplements the Marketplace Terms and applies once you activate a discoverable Talent profile.

BCW Talent Provider Agreement (Draft)

Launch draft — August 29, 2026

1. Your Role

You offer services in your own capacity and are responsible for deciding which opportunities to pursue. Unless a separate written agreement expressly states otherwise, activating a Talent Hub profile does not make you an employee of BCW or of a Client. You are not authorized to bind BCW, make promises on BCW's behalf, or represent yourself as BCW staff.

2. Accurate Profile and Qualifications

You will keep your identity, experience, portfolio, availability, credentials, work authorization, and other material profile information accurate. You will not claim a license, certification, education credential, clearance, client relationship, or skill that you do not possess. You authorize BCW to request reasonable verification and to adjust visibility or access when information cannot be verified.

3. Service Standard

Accept only work you reasonably believe you can perform. Communicate material risks or delays promptly. Perform the agreed scope professionally and in good faith. Protect Client information and systems. Do not subcontract material work without Client approval when the identity of the service provider matters. Comply with applicable law and any lawful Client security or access requirements disclosed before acceptance.

4. Scope, Changes, and Extensions

Review the scope, deadlines, compensation, and required access before accepting work. You may request up to two project extensions through the Platform. A third requested extension requires BCW review and may lead to revised terms, partial payout, partial refund, cancellation, or another resolution. Repeated extensions or missed deadlines may affect marketplace visibility or access.

5–7. Delivery, Compensation, Taxes

Use the Platform's delivery/milestone process to document completed work. Your compensation is the amount shown for the applicable project, less disclosed fees, refunds, chargebacks, or other amounts you're responsible for — payout timing may depend on delivery, acceptance, dispute status, and Stripe verification/banking timelines. You're responsible for your own equipment, workspace, business expenses, licenses, insurance, and taxes unless a separate written agreement says otherwise.

8–10. No Circumvention, Client Systems, Work Product

You will not solicit or accept off-platform payment from a Client introduced through Talent Hub. Use Client credentials/systems/data only for the agreed work and report suspected security incidents promptly. Subject to full payment, custom work product ownership follows the Marketplace Terms; your pre-existing tools, methods, and templates remain yours.

11–14. Disputes, Visibility, Suspension, Acceptance

You agree to participate promptly and truthfully in the Platform dispute process. Your marketplace visibility may reflect service performance, responsiveness, profile quality, training, and verified skills. BCW may pause or remove your Talent Provider privileges for material misrepresentation, fraud, repeated non-performance, or other conduct described in the full agreement. By activating a Talent Provider profile or accepting Talent Hub work, you agree to this Agreement and the Marketplace Terms.
